OEM/ODM Ordering Rules

1 Service Definition & Restrictions

1.1 Definition

BeeSource OEM/ODM Sourcing Agency Service means we arrange production for members via our partnered Chinese manufacturers, wholesale markets and online wholesale platforms including 1688, together with a full range of optional auxiliary services. All service revisions made upon client requests shall also be governed by these Terms.

1.2 Manufacturing Restrictions

We decline all orders for designs containing elements protected by copyright, portrait rights, trademarks and design patents, such as brand logos, celebrity portraits and anime characters.We also refuse to produce designs that copy, parody or bear striking visual similarity to commercially available goods.Additionally, we reject all manufacturing requests for items banned from import or sale under the laws of the destination importing country.

1.3 Intellectual Property Disclaimer

We do not carry out preliminary reviews to verify whether client-submitted designs infringe intellectual property rights held by third-party individuals or corporations.BeeSource shall assume no legal liability for any disputes arising from conflicts with IP right holders.We will only authorize production if clients possess valid official commercial licensing paperwork and furnish contact details of the intellectual property licensor.

2 Inquiry & Quotation Rules

2.1 Pre-Inquiry Requirements

Before submitting an inquiry or specification sheet, clients must clearly state the target unit price budget, order volume, quality criteria and requested delivery lead time.If your requirements remain vague, kindly consult our team to confirm all specifications in full prior to inquiry submission.

2.2 Quotation Provision Standards

For every product request, we supply free quotations from a maximum of 3 partnered manufacturers that we shortlist based on product quality, production costs and past cooperation track records.For product categories with a small pool of viable manufacturers, we may only provide 1 or 2 quotations, and we appreciate your understanding in such cases.

3 Order Placement Procedures

3.1 Specification Form Submission

All formal OEM/ODM orders shall be submitted using our official standard specification form with all fields fully completed.If product specifications have not been finalized, please coordinate with our team to complete and confirm the form prior to submitting your official order.

4 Order Confirmation Provisions

4.1 Order Activation Process

Upon receipt of your completed specification form, we will source two sets of quotations from manufacturers for your review: one for pre-production samples and one for mass production.Once you select a manufacturer, you may place a sample order. If samples are unnecessary, mass production can commence directly.After your manufacturer selection is confirmed, we will issue an official invoice. Your sample or mass production order shall only take effect once full payment matching the invoice amount is remitted via bank transfer.

4.2 Liability Boundary for Factory Contracts

Per the definition set forth in Clause 1.1, BeeSource serves exclusively as an intermediary between clients and Chinese manufacturers.All oral and written agreements executed between you and manufacturers hold no direct legal ties to BeeSource.We offer complimentary contract templates and translation support, but we are not a contracting party and shall bear no legal responsibility for any subsequent contractual disputes.To protect your legitimate interests, we will mediate communications, negotiations, returns and product exchanges with manufacturers to the maximum feasible extent.

5 Cancellation Policy

5.1 Non-Cancellable & Non-Refundable Orders

Goods with exclusive original custom designs and special tailored specifications are non-resalable.Once pre-production sample manufacturing or mass production has started, all cancellation and refund applications shall not be accepted under any circumstances.

6 Production Terms

6.1 Tolerance Range Between Pre-Production Samples and Mass Production Orders

Pre-production samples are manufactured to validate each factory’s equipment performance and technical capability, using leftover raw materials from the factory’s inventory.Mass production utilizes brand-new bulk raw materials, which may result in slight color and texture inconsistencies between samples and finished bulk products.Trivial quality variations across different production batches are deemed within the standard industry tolerance range and shall not constitute grounds for returns or full/partial refunds.

6.2 Remedial Measures for Production Delays and Total Production Failures

Where delivery delays, complete production failures or inability to deliver goods arise out of the manufacturer’s negligence:

Delivery delays: We will negotiate with the factory to formulate and carry out corresponding compensation solutions.

Total production failures: We will fully reimburse you for the cost of goods after cross-verifying facts with the factory.

BeeSource shall not be held responsible for any indirect damages, including missed sales opportunities, stemming from production failures.

7 Scope of Our Liability

7.1 Liability Limitation for Agency Services

All additional surcharges charged by manufacturers arising from increased labor or raw material costs shall be entirely borne by the client.As a sourcing intermediary, BeeSource shall not be responsible for covering any such price increases.

8 Defect Compensation Rules

Where finished goods fail to conform to the confirmed official specifications as a result of manufacturing defects attributable to the factory, we will coordinate with the manufacturer to provide three remedial alternatives: full refund upon return, price discount, or re-production.For clients who purchase our paid inspection service, BeeSource shall reimburse the full inspection fees for defective goods arising from our inspection negligence.

9 Miscellaneous General Provisions

9.1 Governing Terms

These OEM & ODM Order Terms of Service shall take effect concurrently with the BeeSource Privacy Policy and General Member Terms of Service.By making use of our OEM & ODM sourcing service, clients shall be deemed to have fully accepted all clauses contained herein.
